This PERPETUAL SOFTWARE LICENSE AGREEMENT is made and entered into on this 1 August 2026 at Gurugram, Haryana, by and between:

1. THE LICENSOR / SOFTWARE PROPRIETOR (PARTY OF THE FIRST PART):

NexusTech Software Solutions Pvt Ltd, having registered office at Tower B, Cyber City, Phase 2, Gurugram, Haryana 122002.

(hereinafter referred to as the "LICENSOR", which expression shall, unless repugnant to the context or meaning thereof, include its successors, administrators and permitted assigns).

AND

2. THE LICENSEE / SUBSCRIBER (PARTY OF THE SECOND PART):

Apex Global Logistics Ltd, having registered office at 15, MG Road, Commercial Hub, Bengaluru, Karnataka 560001.

(hereinafter referred to as the "LICENSEE", which expression shall, unless repugnant to the context or meaning thereof, include its successors, legal representatives and permitted assigns).

WHEREAS the Licensor is the sole absolute legal owner of the residential property situated at:

LICENSED SOFTWARE: "NexusERP Enterprise Suite" (Version 4.5 Build 2026) | SCOPE: 50 Named Users & 2 Production Servers | TERRITORY: Territory of India | ONE-TIME FEE: Rs. 3,50,000/- (Rupees Three Lakh Fifty Thousand Only) + GST 18%

WHEREAS the Licensor is the sole and exclusive owner of the copyright and intellectual property in the Software; AND WHEREAS the Licensee desires to obtain a perpetual, non-exclusive license to use the Software within the specified scope on the covenants set forth hereunder:

TERMS AND CONDITIONS OF PERPETUAL SOFTWARE LICENSE:

1. GRANT OF PERPETUAL LICENSE:
Subject to full payment of the License Fee, the Licensor grants to the Licensee a perpetual, non-exclusive, non-transferable license to install and execute NexusERP Enterprise Suite within Territory of India for 50 Named Users & 2 Production Servers.
2. ONE-TIME LICENSE FEE & ANNUAL MAINTENANCE (AMC):
The Licensee shall pay a one-time license fee of Rs. 3,50,000/- (Rupees Three Lakh Fifty Thousand Only) + GST 18%. Optional annual technical support and updates shall be governed by an AMC fee of Rs. 50,00,000/- per annum for updates & technical support.
3. RESTRICTIONS ON REVERSE ENGINEERING & RE-DISTRIBUTION:
The Licensee shall not reverse engineer, decompile, disassemble, modify, sub-license, lease, or distribute source code or binary images of the Software to any third party.
4. INTELLECTUAL PROPERTY RIGHTS RETENTION:
The Licensor retains exclusive ownership of all copyright, patent, trade secret, and proprietary rights under Section 30 of the Indian Copyright Act, 1957. This agreement constitutes a license, not a sale.
5. LIMITED WARRANTY & MONETARY LIABILITY CAP:
The Software is provided with a 90-day defect correction warranty. The Licensor's maximum cumulative liability shall not exceed total license fees paid by the Licensee.
6. GOVERNING LAW & JURISDICTION:
This Agreement shall be governed by the laws of India and subject to the exclusive jurisdiction of the competent civil courts situated at Gurugram.
