EMPLOYEE NON-DISCLOSURE AGREEMENT

This EMPLOYEE NON-DISCLOSURE AGREEMENT ("Agreement") is made and entered into on this 1 August 2026 at Navi Mumbai, Maharashtra, by and between:

1. THE EMPLOYER / COMPANY (PARTY OF THE FIRST PART):

CloudMatrix Systems Pvt Ltd, having office at Building 4, Mindspace IT Park, Airoli, Navi Mumbai, Maharashtra 400708.

(hereinafter referred to as the "EMPLOYER / COMPANY", which expression shall, unless repugnant to the context or meaning thereof, include its successors-in-interest, administrators and permitted assigns).

AND

2. THE EMPLOYEE (PARTY OF THE SECOND PART):

Siddharth Verma, residing at Flat 502, Orchid Towers, Thane West, Maharashtra 400601, engaged in the capacity of Lead Cloud Architect.

(hereinafter referred to as the "EMPLOYEE", which expression shall, unless repugnant to the context or meaning thereof, include his/her legal heirs, executors, administrators and permitted assigns).

WHEREAS the Licensor is the sole absolute legal owner of the residential property situated at:

CONFIDENTIAL SCOPE: Proprietary source code, cloud architecture keys, financial models, customer databases, product roadmaps, pricing algorithms, and trade secrets. | DURATION: During Employment + 2 Years Post-Employment | ROLE: Lead Cloud Architect

WHEREAS the Employer is engaged in business and possesses valuable proprietary information, intellectual property, client databases, source code, and trade secrets; AND WHEREAS the Employee is employed by the Employer and, in the course of discharging official duties, will have access to such Confidential Information; AND WHEREAS the Employer has required the Employee to execute this Agreement as a condition of employment to safeguard such Confidential Information:

CONFIDENTIALITY OBLIGATIONS & TERMS:

1. ACKNOWLEDGMENT OF CONFIDENTIAL POSITION & SCOPE:

The Employee acknowledges that in the course of employment starting 1 August 2026 as Lead Cloud Architect, the Employee will have access to sensitive assets. Confidential Information includes without limitation: Proprietary source code, cloud architecture keys, financial models, customer databases, product roadmaps, pricing algorithms, and trade secrets., whether stored digitally, on cloud servers, or in hard copy.

2. NON-DISCLOSURE & NON-USE COVENANTS:

The Employee covenants never to disclose, publish, duplicate, transfer, or commercialize any Confidential Information to third parties without prior written authority from the Company.

3. INTELLECTUAL PROPERTY RIGHTS ASSIGNMENT:

All software code, inventions, improvements, architectures, designs, and materials created or contributed by the Employee during the course of employment shall be the sole and exclusive intellectual property of the Company.

4. DURATION & SURVIVAL OF CONFIDENTIALITY:

The obligations under this Agreement shall remain effective: During Employment + 2 Years Post-Employment and shall survive the cessation of employment.

5. RETURN OF COMPANY PROPERTY & ASSETS:

Upon cessation of employment or demand by the Company, the Employee shall immediately surrender all laptops, access keys, source code repositories, records, and proprietary materials without retaining copies.

6. CONSEQUENCES OF BREACH & PENALTIES:

In the event of breach or unauthorized disclosure by the Employee: Immediate termination of employment, forfeiture of unpaid bonuses/equity, and legal action claiming damages up to Rs. 10,00,000 plus court injunction..

7. GOVERNING LAW & JURISDICTION:

This Agreement shall be construed in accordance with the laws of India and subject to the exclusive jurisdiction of the competent courts in Navi Mumbai.
