FREELANCE / SERVICE AGREEMENT

(CONTRACT FOR PROFESSIONAL SERVICES & DELIVERABLES • TOTAL FEE: Rs. 1,20,000/-)

This SERVICE AGREEMENT is made and entered into on this 1 August 2026 at Bengaluru, Karnataka, by and between:

1. THE CLIENT (PARTY OF THE FIRST PART):

Innovate Retail Labs India Pvt Ltd, having registered office at 7th Floor, UB City, Vittal Mallya Road, Bengaluru, Karnataka 560001.

(hereinafter referred to as the "CLIENT", which expression shall, unless repugnant to the context or meaning thereof, include its successors, administrators and permitted assigns).

AND

2. THE SERVICE PROVIDER (PARTY OF THE SECOND PART):

Arjun Verma (Freelance Senior UI/UX Designer), residing/located at Flat 301, Sunshine Heights, HSR Layout Sector 1, Bengaluru, Karnataka 560102.

(hereinafter referred to as the "SERVICE PROVIDER", acting as an independent contractor).

WHEREAS the Licensor is the sole absolute legal owner of the residential property situated at:

SCOPE OF WORK: Design of web application UI/UX wireframes, interactive design prototypes, design system components, and mobile app screens. | TOTAL PROJECT FEE: Rs. 1,20,000/- (Rupees One Lakh Twenty Thousand Only) | TIMELINE: 45 Days from date of agreement signing

WHEREAS the Client desires to procure the specialized technical/creative services described herein; AND WHEREAS the Service Provider represents that it possesses the requisite expertise and has agreed to perform and deliver the agreed services on the terms and covenants stipulated hereunder:

TERMS AND CONDITIONS OF SERVICE ENGAGEMENT:

1. SCOPE OF SERVICES & DELIVERABLES:
The Service Provider covenants to perform and deliver the following services: Design of web application UI/UX wireframes, interactive design prototypes, design system components, and mobile app screens., completed within the stipulated timeline of: 45 Days from date of agreement signing.
2. PROFESSIONAL FEES & PAYMENT SCHEDULE:
The Client agrees to pay the Service Provider a total project fee of Rs. 1,20,000/- (Rupees One Lakh Twenty Thousand Only). Payment milestone structure: 50% Advance, 50% on Final Delivery.
3. INTELLECTUAL PROPERTY (IP) RIGHTS:
Upon receipt of full and final payment, intellectual property rights in the deliverables shall be governed as: 100% Transfer of IP to Client upon Full Payment. The Service Provider warrants original authorship.
4. CONFIDENTIALITY & DATA PROTECTION:
The Service Provider shall maintain strict confidentiality regarding all proprietary source material, software code, customer data, and trade secrets shared by the Client.
5. INDEPENDENT CONTRACTOR STATUS:
The Service Provider performs all work as an independent contractor. Nothing herein creates any partnership, joint venture, or employer-employee relationship.
6. TERMINATION & NOTICE PERIOD:
Either party may terminate this agreement by providing 14 Days Written Notice. Upon termination, the Client shall pay for work completed up to the effective notice date.
7. GOVERNING LAW & JURISDICTION:
This Agreement shall be governed by the laws of India and subject to the exclusive jurisdiction of the competent civil courts situated at Bengaluru.
