WEBSITE & IT DEVELOPMENT AGREEMENT

(SOFTWARE DEVELOPMENT, REPOSITORY HANDOVER & IP ASSIGNMENT CONTRACT • TOTAL FEE: Rs. 3,50,000/-)

This IT DEVELOPMENT AGREEMENT is made and entered into on this 1 August 2026 at Hyderabad, Telangana, by and between:

1. THE CLIENT (PARTY OF THE FIRST PART):

HealthTech Innovations Pvt Ltd, having registered office at 8th Floor, Cyber Towers, HITEC City, Hyderabad, Telangana 500081.

(hereinafter referred to as the "CLIENT", which expression shall, unless repugnant to the context or meaning thereof, include its successors, administrators and permitted assigns).

AND

2. THE DEVELOPER / IT AGENCY (PARTY OF THE SECOND PART):

ByteCraft Software Solutions LLP, having registered office at Plot 34, IT Park, Electronic City, Bengaluru, Karnataka 560100.

(hereinafter referred to as the "DEVELOPER", acting as an independent software contractor).

WHEREAS the Licensor is the sole absolute legal owner of the residential property situated at:

PROJECT SCOPE: Full-stack development of a web portal and mobile app (iOS & Android) including backend APIs, admin panel, and payment gateway integration. | TOTAL PROJECT FEE: Rs. 3,50,000/- (Rupees Three Lakh Fifty Thousand Only) | TIMELINE: 90 Calendar Days from project kickoff

WHEREAS the Client desires to design, develop, test, and deploy the software/IT solution described herein; AND WHEREAS the Developer represents that it possesses the requisite technical expertise, software engineers, and development infrastructure and has agreed to build and deliver the software on the covenants set forth hereunder:

TERMS AND CONDITIONS OF IT DEVELOPMENT:

1. PROJECT SCOPE & TECHNICAL DELIVERABLES:
The Developer agrees to design, engineer, and deploy the software deliverables in accordance with: Full-stack development of a web portal and mobile app (iOS & Android) including backend APIs, admin panel, and payment gateway integration., scheduled for completion within 90 Calendar Days from project kickoff.
2. TOTAL PROJECT FEE & MILESTONE SCHEDULE:
The Client agrees to pay the Developer a total fee of Rs. 3,50,000/- (Rupees Three Lakh Fifty Thousand Only) against milestone achievements: 30% Advance Token, 30% on Alpha Prototype sign-off, 30% on UAT Delivery, 10% on Final Deployment..
3. 100% IP ASSIGNMENT & SOURCE CODE HANDOVER:
Upon full payment of the agreed fee, the intellectual property rights shall be governed as: 100% Transfer of Source Code & IP to Client upon Full Payment. All source code, APIs, and administrative credentials shall be handed over.
4. POST-DEPLOYMENT MAINTENANCE SUPPORT:
The Developer shall provide complimentary post-deployment support: 3 Months Complimentary Maintenance for bug fixes, server monitoring, and minor optimizations.
5. BUG-FIX WARRANTY & ERROR CORRECTION:
The Developer provides a warranty against defects: 90 Days Warranty against Critical Bugs. Any software bugs reported during this period shall be corrected by the Developer at no additional cost.
6. USER ACCEPTANCE TESTING (UAT) & SIGN-OFF:
The Client shall have 14 business days from deployment delivery to perform User Acceptance Testing (UAT) and issue formal sign-off or furnish a consolidated punch-list of deviations.
7. CONFIDENTIALITY & DATA SECURITY:
The Developer covenants to maintain absolute confidentiality over Client algorithms, databases, business logic, and trade secrets disclosed during the course of the engagement.
8. GOVERNING LAW & JURISDICTION:
This Agreement shall be governed by the laws of India and subject to the exclusive jurisdiction of the competent civil courts situated at Hyderabad.
9. WITNESS EXECUTION:
