(hereinafter referred to as the "SECOND PARTNER", which expression shall, unless repugnant to the context or meaning thereof, include his/her legal heirs, executors, administrators and legal representatives).

WHEREAS the Licensor is the sole absolute legal owner of the residential property situated at:

FIRM NAME: "Nexus Digital Dynamics Partnership" | BUSINESS NATURE: E-commerce platform management and digital marketing advisory services. | TOTAL CAPITAL: Rs. 10,00,000/- | PROFIT/LOSS RATIO: 50:50 (Equal Split)

WHEREAS the Partners have mutually agreed to join together in partnership to carry on the business under the name and style of "Nexus Digital Dynamics Partnership" commencing from 1 August 2026; AND WHEREAS the Partners desire to reduce into writing the terms and covenants governing the partnership under the Indian Partnership Act, 1932:

TERMS AND CONDITIONS OF PARTNERSHIP DEED:

1. NAME OF FIRM, COMMENCEMENT & PRINCIPAL PLACE OF BUSINESS:
The partnership business shall be carried on under the firm name "Nexus Digital Dynamics Partnership" commencing from 1 August 2026. The principal place of business shall be situated at Mumbai, Maharashtra.
2. NATURE OF BUSINESS ACTIVITIES:
The firm shall carry on the business of: E-commerce platform management and digital marketing advisory services. and such other lawful commercial activities as may be mutually agreed upon by the Partners from time to time.
3. CAPITAL CONTRIBUTIONS & INTEREST ON CAPITAL:
The initial capital of the firm shall be Rs. 10,00,000/- (Rupees Ten Lakh Only). The First Partner contributes Rs. 5,00,000/- (Five Lakh) and the Second Partner contributes Rs. 5,00,000/- (Five Lakh).
4. PROFIT & LOSS SHARING RATIO:
The net profits and losses of the partnership business (including capital profits/losses) shall be shared between the Partners in the ratio of: 50:50 (Equal Split).
5. WORKING PARTNERS' ROLES & REMUNERATION (SECTION 40(b)):
First Partner responsibility: Managing Partner - Technical Operations & Product Strategy | Second Partner responsibility: Managing Partner - Business Development & Finance. Working partners shall be entitled to remuneration in accordance with Section 40(b) of the Income Tax Act, 1961.
6. BANK ACCOUNTS & FINANCIAL YEAR:
All bank accounts of the firm shall be opened with scheduled commercial banks and operated under joint signatures of both Partners. The accounting financial year of the firm shall end on the 31st day of March each year.
7. ADMISSION, RETIREMENT & DISSOLUTION:
No new partner shall be introduced without the unanimous written consent of existing Partners. Any partner may retire by giving 3 months prior written notice. Retirement or death of a partner shall not dissolve the firm.
8. DISPUTE RESOLUTION & ARBITRATION:
Any dispute arising out of or in connection with this deed shall be resolved through: Arbitration under Indian Arbitration & Conciliation Act 1996 seated at Mumbai.
9. GOVERNING LAW & JURISDICTION:
This Deed of Partnership shall be governed by the Indian Partnership Act, 1932 and subject to the exclusive jurisdiction of the competent civil courts situated at Mumbai.
