Apex Retail Growth Solutions LLP, represented by Ananya Deshmukh (Partner & COO), having office at Plot 42, Electronics City Phase 1, Hosur Road, Bengaluru, Karnataka 560100.

(hereinafter referred to as the "SECOND PARTY", which expression shall, unless repugnant to the context or meaning thereof, include its successors, administrators and permitted assigns).

WHEREAS the Licensor is the sole absolute legal owner of the residential property situated at:

PURPOSE & SCOPE: Exploring a strategic business alliance to integrate digital SaaS software with physical retail distribution networks across South and West India. | DURATION: 1 Year | LEGAL STATUS: NON-BINDING STATEMENT OF INTENT

WHEREAS both Parties operate in complementary business domains and desire to establish a cooperative framework for strategic collaboration; AND WHEREAS the Parties wish to record their broad understanding, mutual roles, and covenants in this Memorandum of Understanding:

TERMS AND CONDITIONS OF UNDERSTANDING:

1. PURPOSE & SCOPE OF COLLABORATION:
The Parties enter into this MOU to establish a cooperative alliance regarding: Exploring a strategic business alliance to integrate digital SaaS software with physical retail distribution networks across South and West India..
2. ROLES & RESPONSIBILITIES OF THE FIRST PARTY:
The First Party intends and proposes to: Provide cloud software access, technical integration APIs, software user training, and tier-1 customer technical support..
3. ROLES & RESPONSIBILITIES OF THE SECOND PARTY:
The Second Party intends and proposes to: Provide retail store footprint access, manage ground merchant onboarding, and execute co-branded regional marketing drives..
4. DURATION & VALIDITY:
This MOU shall remain in force for a period of 1 Year from the effective date, unless extended or superseded by definitive contracts.
5. LEGAL INTENT & ENFORCEABILITY:
Except for confidentiality, IP protection, and governing law provisions, this MOU represents mutual preliminary intent without financial liability prior to definitive agreements.
6. CONFIDENTIALITY & DATA PROTECTION:
Both Parties covenant to maintain strict confidentiality over all commercial strategies, source algorithms, pricing data, and technical specifications exchanged during this collaboration.
7. TERMINATION & NOTICE PERIOD:
Either Party may terminate this MOU by providing a 30-day prior written notice to the other Party without cause.
8. GOVERNING LAW & JURISDICTION:
