LEAVE AND LICENSE AGREEMENT

This LEAVE AND LICENSE AGREEMENT is made and executed on this 1 August 2026 at Pune, Maharashtra, by and between:

1. THE LICENSOR / OWNER (PARTY OF THE FIRST PART):

Anand Vardhan Rao, residing at Flat 502, Seawoods Towers, Navi Mumbai, Maharashtra 400706, holding PAN/Aadhaar: ABCDE1234F / 1234 5678 9012.

(hereinafter referred to as the "LICENSOR", which expression shall, unless repugnant to the context or meaning thereof, include his/her legal heirs, executors, administrators and permitted assigns).

AND

2. THE LICENSEE / OCCUPANT (PARTY OF THE SECOND PART):

Siddharth Malhotra, residing at H.No 12, Park Street, Kolkata, West Bengal 700016, holding PAN/Aadhaar: ABCDE1234F / 1234 5678 9012.

(hereinafter referred to as the "LICENSEE", which expression shall, unless repugnant to the context or meaning thereof, include his/her legal heirs, executors, administrators and permitted assigns).

WHEREAS the Licensor is the sole absolute legal owner of the residential property situated at:

SCHEDULE OF LICENSED PREMISES: Flat 304, 3rd Floor, Horizon Heights, Baner Road, Pune, Maharashtra 411045

WHEREAS the Licensor is the absolute and lawful owner of the residential premises described in the Schedule herein; AND WHEREAS the Licensee has approached the Licensor to grant a temporary, personal leave and license to occupy the said premises for residential use for a period of 11 Months commencing from 1 August 2026; AND WHEREAS it is explicitly agreed that this agreement is a pure personal license under Section 52 of the Indian Easements Act, 1882 and does not create any lease, tenancy, or proprietary interest in the immovable property:

TERMS AND CONDITIONS OF LEAVE AND LICENSE:

1. GRANT OF PURE LICENSE (NO TENANCY CREATED):
The Licensor hereby grants to the Licensee a revocable personal leave and license to occupy and use the licensed premises for a period of 11 Months commencing on 1 August 2026. This agreement creates a pure license under Section 52 of the Indian Easements Act, 1882, and shall not be construed as creating any tenancy, sub-tenancy, lease, or easement right in favor of the Licensee.
2. MONTHLY LICENSE FEE & PAYMENT TIMELINE:
The Licensee agrees to pay to the Licensor a monthly license fee of Rs. 35,000/- (Rupees Thirty Five Thousand Only) per month, payable in advance on or before the 5th day of each English calendar month via electronic bank transfer.
3. INTEREST-FREE REFUNDABLE SECURITY DEPOSIT:
The Licensee has deposited with the Licensor an interest-free refundable security deposit of Rs. 1,50,000/- (Rupees One Lakh Fifty Thousand Only). This deposit shall be refunded upon expiration or termination of the license, simultaneously against handing over vacant and peaceful possession, after deducting any unpaid license fees, utility charges, or verified damages.
4. LOCK-IN PERIOD & TERMINATION NOTICE:
There shall be an initial Lock-in Period of 6 Months during which neither party may terminate the agreement. Post lock-in period, either party may terminate this license by giving 3 Months prior written notice to the other party.
5. PERMITTED RESIDENTIAL USE & SOCIETY BYE-LAWS:
The premises shall be used strictly and exclusively for residential accommodation by the Licensee and immediate family members. The Licensee shall strictly abide by all rules, bye-laws, and guidelines of the Cooperative Housing Society (CHS). Licensee shall strictly abide by Cooperative Housing Society (CHS) bye-laws and pay monthly maintenance charges directly to the society.
6. INVENTORY OF FIXTURES & FITTINGS:
The premises includes the following inventory of fixtures and fittings: 2 Split ACs, 3 Ceiling Fans, 1 Geyser, Modular Kitchen Cabinets, Sofa Set, Dining Table.. The Licensee covenants to maintain the same in good operational condition and return them in like state upon handover, reasonable wear and tear excepted.
7. ELECTRICITY, WATER & UTILITIES:
The Licensee shall pay all charges for electricity consumption as per actual meter readings, domestic water charges, and society maintenance charges directly to the respective authorities/society on or before the due dates.
8. PROHIBITION ON SUB-LICENSING & ASSIGNMENT:
The Licensee shall not assign, transfer, sub-license, or part with the possession of the premises or any part thereof to any third party under any circumstances whatsoever.
9. INSPECTION & RIGHT OF ENTRY:
The Licensor or authorized representatives shall have full right and liberty to enter and inspect the condition of the licensed premises at reasonable hours during daytime upon giving reasonable prior notice.
10. GOVERNING LAW, JURISDICTION & REGISTRATION:
This Agreement shall be governed by the laws of India and the relevant provisions of the Maharashtra Rent Control Act, 1999. Competent courts situated at Pune shall have exclusive jurisdiction. Both parties agree to register this agreement on the official Maharashtra IGR portal.
