CONSULTANCY AGREEMENT

(AGREEMENT FOR PROFESSIONAL ADVISORY & CONSULTING SERVICES • DURATION: 6 Months)

This CONSULTANCY AGREEMENT is made and entered into on this 1 August 2026 at Mumbai, Maharashtra, by and between:

1. THE COMPANY / CLIENT (PARTY OF THE FIRST PART):

Starlight FinTech Enterprises Pvt Ltd, having registered office at Suite 502, Express Towers, Nariman Point, Mumbai, Maharashtra 400021.

(hereinafter referred to as the "COMPANY", which expression shall, unless repugnant to the context or meaning thereof, include its successors, administrators and permitted assigns).

AND

2. THE CONSULTANT / ADVISOR (PARTY OF THE SECOND PART):

Dr. Rajesh Kumar (Management Consultant), residing at Plot 88, Jubilee Hills, Hyderabad, Telangana 500033.

(hereinafter referred to as the "CONSULTANT", acting as an independent professional advisor).

WHEREAS the Licensor is the sole absolute legal owner of the residential property situated at:

CONSULTANCY SCOPE: Strategic advisory on financial compliance, regulatory filings, cross-border expansion, and risk management framework. | FEE: Rs. 85,000/- (Monthly Retainer) | DURATION: 6 Months

WHEREAS the Company desires to engage the advisory services of an expert management and technical consultant; AND WHEREAS the Consultant possesses specialized domain expertise and has agreed to render professional consulting services on the terms and covenants stipulated hereunder:

TERMS AND CONDITIONS OF CONSULTANCY ENGAGEMENT:

1. ENGAGEMENT & SCOPE OF ADVISORY SERVICES:
The Company engages the Consultant to render strategic advisory services in respect of: Strategic advisory on financial compliance, regulatory filings, cross-border expansion, and risk management framework. for a tenure of 6 Months commencing on 1 August 2026.
2. CONSULTING FEE, INVOICING & TDS (SECTION 194J):
In consideration of the advisory services, the Company agrees to pay the Consultant a fee of Rs. 85,000/- (Rupees Eighty Five Thousand Only) on a Monthly Retainer basis. Tax Deducted at Source (TDS) under Section 194J of the Income Tax Act, 1961 shall apply.
3. INDEPENDENT CONTRACTOR STATUS:
The Consultant shall act strictly as an independent contractor on a principal-to-principal basis. Nothing in this Agreement shall constitute an employer-employee or agency relationship between the Parties.
4. CONFIDENTIALITY & NON-DISCLOSURE:
The Consultant shall maintain absolute confidentiality with respect to all proprietary business information, client data, technical architecture, and trade secrets disclosed during the course of the engagement.
5. INTELLECTUAL PROPERTY RIGHTS (WORK-FOR-HIRE):
All deliverables, strategic reports, and documentation produced by the Consultant under this engagement shall constitute 'Work-for-Hire' and be the exclusive intellectual property of the Company.
6. NON-COMPETE & NON-SOLICITATION COVENANT:
Non-compete covenant: Yes - 12 Months Non-Compete Period. The Consultant shall not solicit the Company's clients or employees during the term of engagement.
7. ENGAGEMENT TERM & TERMINATION NOTICE:
This Agreement shall remain valid for 6 Months from 1 August 2026. Either party may terminate the agreement by providing 30 days prior written notice.
8. GOVERNING LAW & JURISDICTION:
This Agreement shall be governed by the laws of India and subject to the exclusive jurisdiction of the competent civil courts situated at Mumbai.
