FRANCHISE AGREEMENT

(BRAND LICENSE AND OUTLET OPERATION CONTRACT • BRAND: "Chai Express" • TENURE: 5 Years)

This FRANCHISE AGREEMENT is made and entered into on this 1 August 2026 at New Delhi, Delhi, by and between:

1. THE FRANCHISOR (PARTY OF THE FIRST PART):

Chai Express Foods & Beverages Pvt Ltd, having its head office at Plot 55, Cyber City, Phase 2, Gurugram, Haryana 122002.

(hereinafter referred to as the "FRANCHISOR", which expression shall, unless repugnant to the context or meaning thereof, include its successors, administrators and permitted assigns).

AND

2. THE FRANCHISEE (PARTY OF THE SECOND PART):

Anand Retail Hospitality LLP, having its registered office at Flat 101, Residency Road, Connaught Place, New Delhi 110001.

(hereinafter referred to as the "FRANCHISEE", which expression shall, unless repugnant to the context or meaning thereof, include its successors, legal representatives and permitted assigns).

WHEREAS the Licensor is the sole absolute legal owner of the residential property situated at:

FRANCHISE BRAND: "Chai Express" | TERRITORY: Connaught Place & Janpath Zone, Central New Delhi | UPFRONT FEE: Rs. 5,00,000 (Five Lakhs Only) | ROYALTY: 5% of Monthly Net Sales

WHEREAS the Franchisor is the lawful proprietor of the brand name, trademarks, trade secrets, and operating methods of "Chai Express"; AND WHEREAS the Franchisee desires to obtain a license to establish and operate a franchised outlet within the designated territory on the covenants set forth hereunder:

TERMS AND CONDITIONS OF FRANCHISE GRANT:

1. GRANT OF FRANCHISE & TRADEMARK LICENSE:
The Franchisor hereby grants to the Franchisee the non-exclusive license to operate a franchise unit under the brand name "Chai Express" within the assigned territory in strict compliance with the Franchisor's Standard Operating Procedures (SOPs).
2. ASSIGNED TERRITORY RIGHTS:
The exclusive geographic zone allocated for the franchise outlet is: Connaught Place & Janpath Zone, Central New Delhi. The Franchisee shall not operate or solicit business outside this allocated area.
3. UPFRONT FRANCHISE FEE & MONTHLY ROYALTIES:
The Franchisee agrees to pay an upfront non-refundable franchise fee of Rs. 5,00,000 (Five Lakhs Only) upon execution hereof. Additionally, the Franchisee shall remit a monthly royalty of 5% of Monthly Net Sales on or before the 7th day of each calendar month.
4. AGREEMENT DURATION & RENEWAL TERMS:
This Agreement shall remain in force for a period of 5 Years commencing on 1 August 2026. Renewal terms: Renewable for an additional 5-year term subject to 50% reduced renewal fee and satisfactory audit performance..
5. INITIAL TRAINING & OPERATIONAL SUPPORT:
The Franchisor's commitment regarding operational training and staff orientation: Yes — 14 Days Initial On-site & Staff Training Included.
6. QUALITY STANDARDS & BRAND AUDITS:
The Franchisee covenants to maintain absolute food hygiene, customer service quality, billing transparency, and brand aesthetics. The Franchisor reserves the right to conduct unannounced periodic inspections and quality audits.
7. MANDATORY APPROVED INGREDIENTS & SUPPLY CHAIN:
All core ingredients, proprietary spices, packaging materials, and branded uniforms shall be procured strictly from Franchisor-approved vendors at pre-negotiated wholesale rates.
8. TERMINATION & POST-TERMINATION DE-BRANDING:
Upon material breach of quality standards or default in royalty payment, the Franchisor may terminate this agreement on 30 days notice. Upon termination, the Franchisee shall immediately cease using all trademarks, signage, and proprietary recipes.
9. GOVERNING LAW & JURISDICTION:
This Agreement shall be governed by the laws of India and subject to the exclusive jurisdiction of the competent civil courts situated at New Delhi.
