CLIENT RETAINER AGREEMENT

(CONTRACT FOR ONGOING MONTHLY RETAINER SERVICES • MONTHLY FEE: Rs. 75,000/-)

This CLIENT RETAINER AGREEMENT is made and entered into on this 1 August 2026 at Mumbai, Maharashtra, by and between:

1. THE CLIENT (PARTY OF THE FIRST PART):

Aura Brand Labs Pvt Ltd, having registered office at Level 4, Corporate Park, BKC, Mumbai, Maharashtra 400051.

(hereinafter referred to as the "CLIENT", which expression shall, unless repugnant to the context or meaning thereof, include its successors, administrators and permitted assigns).

AND

2. THE SERVICE PROVIDER / AGENCY (PARTY OF THE SECOND PART):

Catalyst Marketing & PR Services LLP, having registered office at Suite 201, Express Chambers, Andheri East, Mumbai, Maharashtra 400069.

(hereinafter referred to as the "SERVICE PROVIDER", acting as an independent professional agency).

WHEREAS the Licensor is the sole absolute legal owner of the residential property situated at:

RETAINER SCOPE: Ongoing digital marketing strategy, social media management, brand PR outreach, and monthly analytics reporting. | MONTHLY FEE: Rs. 75,000/- (Rupees Seventy Five Thousand Only) | INCLUDED HOURS: 40 Dedicated Hours per month | EXCESS RATE: Rs. 2,500/- per hour

WHEREAS the Client desires to retain the ongoing professional advisory and agency services of the Service Provider; AND WHEREAS the Service Provider agrees to dedicate professional capacity and render recurring monthly services on the terms and covenants stipulated hereunder:

TERMS AND CONDITIONS OF RETAINER ENGAGEMENT:

1. SCOPE OF ONGOING RETAINER SERVICES:
The Service Provider covenants to provide ongoing professional services: Ongoing digital marketing strategy, social media management, brand PR outreach, and monthly analytics reporting. on a dedicated monthly basis throughout the contract term.
2. MONTHLY RETAINER FEE & BILLING CYCLE (TDS SEC 194J):
The Client agrees to pay the Service Provider a fixed monthly retainer fee of Rs. 75,000/- (Rupees Seventy Five Thousand Only). Invoicing and payment shall follow: 1st of every calendar month in advance. Statutory TDS under Section 194J of the Income Tax Act, 1961 shall be deducted.
3. INCLUDED SERVICE HOURS & ADDITIONAL HOURLY CHARGES:
The monthly retainer covers up to 40 Dedicated Hours per month. Any additional work beyond allocated hours shall be billed at the agreed hourly rate of Rs. 2,500/- (Rupees Two Thousand Five Hundred Only) per hour upon prior written approval.
4. INDEPENDENT CONTRACTOR STATUS:
The Service Provider operates strictly as an independent contractor on a principal-to-principal basis. Nothing herein creates any partnership, joint venture, or employer-employee relationship.
5. CONFIDENTIALITY & DATA PROTECTION:
The Service Provider shall hold in strict confidence all commercial data, marketing strategies, customer lists, and financial records disclosed by the Client.
6. CONTRACT DURATION & TERMINATION NOTICE:
This Agreement shall remain in effect for 12 Months commencing on 1 August 2026. Either party may terminate this agreement by providing 30 Days Written Notice.
7. GOVERNING LAW & JURISDICTION:
This Agreement shall be governed by the laws of India and subject to the exclusive jurisdiction of the competent civil courts situated at Mumbai.
8. WITNESS EXECUTION:
This Retainer Agreement is executed in the presence of the following independent witnesses: • Witness 1: Rahul Sharma (Residing at: Mumbai, Maharashtra) • Witness 2: Priya Verma (Residing at: Mumbai, Maharashtra)
