BUSINESS LOAN AGREEMENT

(COMMERCIAL LOAN CONTRACT WITH SECURITY HYPOTHECATION • INTEREST: 12% P.A.)

This BUSINESS LOAN AGREEMENT is made and entered into on this 1 August 2026 at Mumbai, Maharashtra, by and between:

1. THE LENDER (PARTY OF THE FIRST PART):

Vanguard Capital Advisors LLP, having registered office at 10th Floor, Maker Chambers VI, Nariman Point, Mumbai, Maharashtra 400021.

(hereinafter referred to as the "LENDER", which expression shall, unless repugnant to the context or meaning thereof, include its successors, administrators and permitted assigns).

AND

2. THE BORROWER (PARTY OF THE SECOND PART):

Solaris Renewable Energy Systems Pvt Ltd, having registered office at Plot 89, EPIP Zone, Whitefield, Bengaluru, Karnataka 560066.

(hereinafter referred to as the "BORROWER", which expression shall, unless repugnant to the context or meaning thereof, include its successors, legal representatives and permitted assigns).

WHEREAS the Licensor is the sole absolute legal owner of the residential property situated at:

PRINCIPAL LOAN AMOUNT: Rs. 25,00,000/- (Rupees Twenty Five Lakh Only) | INTEREST: 12% p.a. | TENURE: 24 Equated Monthly Installments (EMIs)

WHEREAS the Borrower has requested the Lender to grant a commercial business loan facility of Rs. 25,00,000/- for working capital and business operations; AND WHEREAS the Lender has agreed to advance the said credit facility upon the covenants, security hypothecation, and repayment terms stipulated hereunder:

TERMS AND CONDITIONS OF BUSINESS LOAN:

1. PRINCIPAL LOAN AMOUNT & PERMITTED PURPOSE:
The Lender agrees to lend and disburse to the Borrower a commercial term loan of Rs. 25,00,000/- (Rupees Twenty Five Lakh Only) solely for the designated business purpose: Working capital expansion, purchase of manufacturing machinery, and inventory stocking..
2. RATE OF INTEREST & COMPUTATION:
The Borrower covenants to pay interest on the outstanding principal balance at the rate of 12% per annum calculated on a monthly reducing balance basis from the date of disbursement.
3. REPAYMENT SCHEDULE & MODE OF PAYMENT:
The Borrower shall repay the loan principal together with accrued interest strictly in accordance with: 24 Equated Monthly Installments (EMIs) via automated NACH / ECS bank mandate on or before the 5th day of each calendar month.
4. COLLATERAL SECURITY & HYPOTHECATION:
As collateral security for the prompt and complete repayment, the Borrower provides: Hypothecation of newly acquired machinery and personal guarantee of the company Directors.. The Lender retains absolute right of enforcement upon default.
5. DELAYED EMI PENALTY & ACCELERATION:
Any delay in payment of installment shall attract penal interest: 2% per month penal interest on delayed EMI.
6. RIGHT OF PREPAYMENT:
The Borrower shall have the right to prepay the loan facility in part or full at any time prior to maturity without any prepayment penalty upon providing 15 days prior written notice to the Lender.
7. BORROWER'S COVENANTS & FINANCIAL DISCLOSURE:
The Borrower warrants that it maintains lawful corporate status, holds all necessary statutory licenses, and agrees to provide audited financial statements and permit physical inspection of hypothecated assets upon request.
8. EVENTS OF DEFAULT & RECOVERY REMEDIES:
Upon occurrence of default in two consecutive installments, insolvency, or breach of security covenants, the Lender shall be entitled to recall the entire outstanding loan with immediate effect and initiate legal recovery proceedings.
9. GOVERNING LAW & JURISDICTION:
This Agreement shall be governed by the laws of India and subject to the exclusive jurisdiction of the competent civil courts situated at Mumbai.
