AGREEMENT TO SELL PROPERTY

(MEMORANDUM OF UNDERSTANDING FOR SALE AND TRANSFER OF IMMOVABLE PROPERTY)

This AGREEMENT TO SELL is made and executed on this 17 August 2026 at Jaipur, Rajasthan, by and between:

1. THE SELLER / VENDOR (PARTY OF THE FIRST PART):

Brijesh Chandra Sen, residing at House No 14, Civil Lines, Jaipur, Rajasthan 302006.

(hereinafter referred to as the "SELLER / VENDOR", which expression shall, unless repugnant to the context or meaning thereof, include his/her legal heirs, executors, administrators, legal representatives and permitted assigns).

AND

2. THE PURCHASER / BUYER (PARTY OF THE SECOND PART):

Abhinav Gupta, residing at Flat 204, Green Heights, Vaishali Nagar, Jaipur 302021.

(hereinafter referred to as the "PURCHASER / BUYER", which expression shall, unless repugnant to the context or meaning thereof, include his/her legal heirs, executors, administrators, legal representatives and permitted assigns).

WHEREAS the Licensor is the sole absolute legal owner of the residential property situated at:

SCHEDULE OF IMMOVABLE PROPERTY: Plot No 42, Royal Enclave, Jagatpura, Jaipur, Rajasthan 302017 (Residential Apartment / Flat, Super Built-Up Area: 1450 Sq. Ft.)

WHEREAS the Seller is the absolute, lawful and undisputed owner of the immovable property described in the Schedule herein; AND WHEREAS the Seller has agreed to sell and transfer, and the Purchaser has agreed to purchase the demised property for the total agreed sale consideration of Rs. 65,00,000/-; AND WHEREAS the Parties are desirous of reducing into writing the terms and covenants governing the sale:

AGREED TERMS AND CONDITIONS OF SALE:

1. AGREED TOTAL SALE CONSIDERATION:
The total agreed and final sale consideration for the scheduled immovable property is fixed at Rs. 65,00,000/- (Rupees Sixty Five Lakh Only) mutually agreed upon between both parties.
2. EARNEST MONEY / ADVANCE TOKEN PAID:
The Purchaser has paid an earnest advance token amount of Rs. 5,00,000/- (Rupees Five Lakh Only) via bank transfer/cheque to the Seller upon execution hereof, the receipt whereof the Seller hereby acknowledges and confirms.
3. BALANCE SALE CONSIDERATION & PAYMENT SCHEDULE:
The remaining balance consideration of Rs. 60,00,000/- (Rupees Sixty Lakh Only) shall be paid by the Purchaser to the Seller on or before 31 October 2026 simultaneously with the execution and registration of the final Sale Deed before the competent Sub-Registrar.
4. CLEAR, MARKETABLE TITLE & ENCUMBRANCE WARRANTY:
The Seller guarantees and covenants that the property is free from all mortgages, charges, liens, legal attachments, lis pendens, tax encumbrances, and third-party claims, and that the Seller holds an absolute, clear, and marketable title.
5. PHYSICAL POSSESSION & SALE DEED REGISTRATION:
Vacant, peaceful, and physical possession of the property shall be handed over to the Purchaser on or before 31 October 2026 concurrently with the registration of the Sale Deed. The Seller shall appear in person before the Sub-Registrar to execute the registration.
6. DELIVERY OF ORIGINAL TITLE DEEDS:
Upon receipt of the full balance consideration, the Seller shall surrender all original title deeds, prior link documents, sanctioned building plans, tax receipts, and mutation records to the Purchaser.
7. STATUTORY DUES & MUNICIPAL TAXES CLEARANCE:
All municipal property taxes, electricity, water, and development charges up to the date of physical possession shall be borne and cleared by the Seller. Thereafter, all charges shall be the responsibility of the Purchaser.
8. DEFAULT, FORFEITURE & SPECIFIC PERFORMANCE:
If the Purchaser fails to pay the balance consideration within the stipulated time, the Seller shall be entitled to forfeit the earnest money. If the Seller fails or refuses to execute the Sale Deed, the Purchaser shall be entitled to sue for Specific Performance under the Specific Relief Act, 1963 and claim damages.
9. GOVERNING LAW & JURISDICTION:
This Agreement shall be governed by the Indian Contract Act, 1872 and the Transfer of Property Act, 1882. The competent civil courts situated at Jaipur shall have exclusive jurisdiction.
